Terms of Sales

1. Scope

These Terms of Sales ("Terms") govern purchases of SafeInstinct subscriptions and related services. By purchasing, customer agrees to these Terms and any executed order form or service agreement.

2. Subscription Model

SafeInstinct is offered as a seat-based subscription. Commercial terms such as plan type, seat count, term length, and pricing are defined in your order form or approved quote.

3. Fees and Invoicing

  • Fees are stated in the applicable order form, quote, or invoice.
  • Invoices are due according to payment terms shown on the invoice unless otherwise agreed in writing.
  • Customer is responsible for applicable taxes, duties, or governmental charges, excluding our income taxes.
  • Except where required by law, fees paid are non-refundable.

4. Seat Changes and Billing Adjustments

  • Seat increases may result in additional charges under customer's billing model.
  • Seat decreases generally apply prospectively and do not create automatic credits unless contractually stated.
  • Renewal seat quantities and any prorations follow the terms in the customer agreement.

5. Term and Renewal

Subscription term begins on the start date in the order form and renews as specified in the agreement unless either party gives timely non-renewal notice per the contract.

6. Customer Responsibilities

  • Provide accurate company and billing information.
  • Manage authorized users and maintain account security credentials.
  • Use the service in compliance with applicable laws and regulations.
  • Do not misuse the platform, attempt unauthorized access, or disrupt service operations.

7. Service Availability and Changes

We may update, improve, or modify features to maintain security, performance, and compliance. Scheduled and emergency maintenance may temporarily affect availability.

8. Intellectual Property

SafeInstinct and its content remain our intellectual property and that of our licensors. Purchase of a subscription grants a limited, non-exclusive right to use the service during the subscription term.

9. Confidentiality

Each party agrees to protect confidential information disclosed by the other party and to use it only for purposes of performing obligations under the commercial relationship.

10. Warranties and Disclaimers

SafeInstinct is provided on an "as is" and "as available" basis, except as expressly stated in a signed agreement. To the maximum extent permitted by law, implied warranties are disclaimed.

11. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Aggregate liability is limited as set forth in the governing customer agreement.

12. Suspension and Termination

We may suspend or terminate access for material breach, non-payment, unlawful use, or security risk, subject to applicable contract terms.

13. Governing Terms Priority

If a signed master agreement or order form conflicts with these Terms, the signed agreement controls for that customer.
